Terms of Service

1. Scope of Work & Project Engagements

All engineering, design, and technical optimization projects are executed pursuant to a written Statement of Work (SOW) or proposal specification. Any modifications or scope extensions requested during active development will be evaluated and billed under an agreed written change order.

2. Milestone Billing & Payment Terms

We operate on structured milestone commitments. Standard project payment milestones include:

• Deposit & Architecture Sprint: 50% upfront to initiate wireframing, technical design system, and environment provisioning.
• Final Deployment & QA Sign-Off: 50% upon completion of user acceptance testing, DNS propagation, and verified production launch.
• Monthly SEO & Maintenance Retainers: Invoiced on a recurring 30-day billing cycle, payable upon invoice presentation with zero lock-in contracts.

3. Intellectual Property & Source Code Ownership

Upon final payment settlement, the Client owns 100% of all bespoke source code, graphics, copywriting, database schemas, and domain assets created for the project. WebSmitherz retains zero proprietary lock-in. All Git repositories and server credentials are transferred directly to client ownership upon deployment.

4. 30-Day Technical Warranty & Support

Every custom web build includes 30 days of comprehensive technical support post-deployment. We resolve any browser rendering defects, Core Web Vitals regressions, or contact form routing bugs at zero additional fee. Continued maintenance beyond 30 days is supported via our dedicated maintenance packages.

5. Limitation of Liability & Jurisdiction

WebSmitherz is not liable for third-party hosting outages, upstream API downtime (e.g. Google Maps API, Stripe), or algorithm updates executed by search engines. These terms are governed by the laws of the State of New York.
